Terms of Service

From everyone at CupBots, thank you for using our products. We build them to help you run your business from WhatsApp. Because we don't know every one of you personally, we have to put in place some Terms of Service to help keep the ship afloat.

When we say "Company", "we", "our", or "us" in this document, we are referring to CupBots OU, incorporated in Tallinn, Estonia.

When we say "Services", we mean our website at cupbots.com, the CupBots WhatsApp bot platform, and any related products or services we offer — whether delivered within WhatsApp, via API, or on the web.

When we say "You" or "your", we are referring to the people or organizations that have an account with one or more of our Services.

We may update these Terms of Service ("Terms") in the future. Whenever we make a significant change, we'll notify you. When you use our Services, now or in the future, you are agreeing to the latest Terms. There may be times where we don't exercise or enforce a right or provision of the Terms; doing so doesn't mean we're waiving that right or provision.

Account terms

  1. You are responsible for maintaining the security of your WhatsApp account. CupBots cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
  2. You are responsible for all content posted to and activity that occurs under your bot, including content posted by others who have access to your bot instance.
  3. You must be a human. Accounts registered by bots or automated methods are not permitted.

Payment, refunds, and plan changes

  1. If you are using a paid Service, you agree to pay the subscription fees indicated for that Service. Payments are processed through Stripe. We don't handle your card details directly — Stripe does.
  2. All subscriptions renew automatically. You can cancel at any time. When you cancel, your access continues until the end of the current billing period. We don't prorate cancellations.
  3. We offer a satisfaction guarantee. If you're genuinely unhappy with the service, contact us within 30 days and we'll work something out. We'll either fix the problem or give you a refund. We're reasonable people.
  4. We may change pricing in the future. When we do, we'll give you at least 30 days' notice. Price changes will take effect at the start of your next billing cycle.

Cancellation and termination

  1. You're free to cancel your account at any time. You can do this through the Stripe customer portal (accessible via the /subscription command) or by messaging us on WhatsApp.
  2. After cancellation, your data is kept for 30 days in case you want to come back. After that, we delete it. If you need it gone immediately, tell us and we'll handle it.
  3. We reserve the right to suspend or terminate accounts that violate these Terms. We'll try to warn you first. If it's egregious (spam, abuse, illegal activity), we may not.
  4. We have the right to close the service entirely with 30 days' notice. If that ever happens, we'll give you time to export your data and we'll refund any prepaid amounts for unused time.

Uptime, security, and privacy

  1. Your use of the Services is at your sole risk. We provide the Services on an "as is" and "as available" basis. We do our best to keep things running, but we don't guarantee 100% uptime.
  2. We take security seriously. Your data is isolated from other customers. We use encryption in transit and at rest. We don't share your data with third parties except as described in our Privacy Policy.
  3. When you use our Services, you're trusting us with your business data. We take that trust seriously. Our full Privacy Policy explains how we handle your data.

Copyright and content ownership

  1. You own your data. We don't claim any intellectual property rights over the content you create, store, or process through CupBots.
  2. We claim no intellectual property rights over the content your bot generates on your behalf. That's yours too.
  3. The look and feel of the Services is copyright CupBots OU. You may not duplicate, copy, or reuse any portion of the HTML, CSS, JavaScript, visual design elements, or concepts without express written permission.

Features and bugs

We design our Services with care, based on our own experience and the experiences of customers who share their time and feedback. However, there's no such thing as a service that pleases everyone. We make no guarantees that our Services will meet your specific requirements or expectations.

We also test extensively before shipping new features. As with any software, our Services inevitably have some bugs. We track the ones we know about and work through them. Not all reported bugs will get fixed, and we don't guarantee completely error-free Services.

Services adaptations and API terms

We offer the ability to connect CupBots with third-party services through plugins and integrations. Any use of third-party services is at your own risk and subject to the terms and privacy policies of those services. We're not responsible for the behavior of third-party integrations.

Liability

We mention liability throughout these Terms but to put it all in one place:

You expressly understand and agree that CupBots OU shall not be liable, in law or in equity, to you or to any third party for any direct, indirect, incidental, lost profits, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from your use of the Services.

In no event shall our total aggregate liability exceed the amounts you've paid to us in the twelve (12) months preceding the claim.

Governing law

These Terms are governed by the laws of the Republic of Estonia and the European Union, without regard to conflict of law principles. Any disputes arising from these Terms will be resolved in the courts of Tallinn, Estonia.
